1. About these Terms

1.1 Who we are

comail is provided by:

Ninibe GmbH, Lübeck, Germany
Email: support@comail.io

In these Terms, “comail”, “we”, “us” and “our” mean Ninibe GmbH, together with its successors and permitted assigns. Our registered address and commercial register details are in our Impressum.

1.2 Agreement

These Terms form a contract between you and us. You accept them when you create an account, start a free trial, purchase a subscription, or otherwise access or use the Service. By continuing to use the Service, you agree to these Terms as in force at the time. If you do not agree, do not use the Service.

1.3 Who may use comail

You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms on its behalf; “you” then means that organisation.

1.4 Business and consumer customers

comail is designed for professional use, but individuals may use it too. Where these Terms treat business customers differently, a “business customer” is a customer acting in the course of a trade, business or profession (an Unternehmer under § 14 BGB). If you are a consumer, nothing in these Terms limits the rights you have under mandatory consumer protection law.

1.5 Separate agreements

If you and we sign a separate written agreement for the Service (such as an order form or enterprise agreement), it takes precedence over these Terms where the two conflict.

2. Definitions

  • “Service” means comail: the web application, the Model Context Protocol (MCP) endpoints, APIs, notification streams and related documentation we make available at comail.io and its subdomains.
  • “Account” means your registered comail account.
  • “Inbox” means a Gmail or Google Workspace mailbox you connect to your Account. Each connected mailbox counts as one Inbox.
  • “Agent” means any software, including an AI assistant, MCP client or automation, that you authorise to access the Service on your behalf.
  • “Permissions” means the settings you configure in the Service that determine what each Agent may read or do, including label-based access, rules, recipient allow-lists and send approvals.
  • “Mail Data” means the content and metadata of messages, threads, drafts, attachments, labels and settings in your Inboxes.
  • “Customer Data” means Mail Data and any other data you or your Agents submit to the Service, such as rules, labels, recipient lists and configuration.
  • “Affiliate” means any entity that controls, is controlled by, or is under common control with a party.

3. Your account

3.1 Accurate information. You must provide accurate registration information and keep your email address current, as we use it to contact you about the Service.

3.2 Security. You are responsible for keeping your password, sign-in method, Agent tokens and MCP authorisations confidential, and for all activity under your Account, including activity by your Agents. Anyone who holds an Agent's token or authorisation can act as that Agent. Revoke any credential you believe is compromised, and tell us without undue delay at support@comail.io if you become aware of unauthorised access to your Account.

3.3 One trial per customer. Each person or organisation may use one free trial. Creating additional Accounts to obtain further trials is not permitted.

4. Connecting mailboxes

4.1 Authority. You may connect only Inboxes that you own or are authorised to use and to connect to third-party services. If an Inbox belongs to your employer or another organisation, you are responsible for obtaining any permission its administrator or policies require. Where Mail Data includes personal data of other people, you are responsible for having a lawful basis to let your Agents process it.

4.2 Google authorisation. When you connect an Inbox, you authorise us, through Google's consent screen, to access that Inbox with the scopes shown there, solely to provide the Service as described in these Terms and our Privacy Policy. You can disconnect an Inbox at any time in the Service, or revoke our access in your Google Account settings.

4.3 Your mail stays in your mailbox. comail does not keep copies of your messages. It retrieves Mail Data from Google when an Agent requests it and the Permissions allow it. Your Inboxes, their content and any backups of them remain your responsibility and are subject to your agreement with Google.

5. AI agents and permissions

5.1 Agents are yours. You choose, configure and operate your Agents. They are provided by third parties (for example, AI model providers and MCP client developers) or by you, and they are not part of the Service. When an Agent requests data, comail delivers to it the Mail Data its Permissions allow. What the Agent and its provider then do with that data is governed by your arrangements with them, not by us.

5.2 Permissions. comail enforces the Permissions you configure on each request. You are responsible for choosing Permissions that suit your needs and risk tolerance. Access by label depends on the labels in your Inbox: if you, another user of the Inbox, a Gmail filter or an Agent with labelling permission changes a label, what your Agents can see changes with it.

5.3 Actions taken by Agents. Depending on the Permissions you grant, an Agent may draft, send, schedule, forward, label, archive, mark as spam or move messages to trash. Messages sent through the Service are sent from your Inbox, in your name. You are responsible for every action an Agent takes within the Permissions you granted, as if you had taken it yourself.

5.4 Limitations of AI. AI agents can misunderstand instructions, produce inaccurate or inappropriate output, and be manipulated by content they read, including instructions hidden in incoming email (“prompt injection”). Outputs are not professional advice. comail reduces these risks by limiting what each Agent can see and do, but it does not review, moderate or verify what Agents read or write. Review Agent actions, use approval steps for outbound mail where appropriate, and do not rely on an Agent for decisions that require human judgement or professional oversight.

6. Free trial

6.1 No payment details. New Accounts receive a free trial of 30 days, or of the length shown when you sign up. You do not need to provide payment details to start a trial, and we will not charge you when it ends unless you have purchased a subscription.

6.2 Scope. The trial runs per Account, not per Inbox. Connecting, disconnecting or reconnecting Inboxes does not restart it.

6.3 When the trial ends. If you have not subscribed, your Agents' access to mail pauses. You can still sign in, manage your subscription, disconnect Inboxes, remove Agents and delete your Account. We keep your Account and settings so you can resume by subscribing, for the period described in our Privacy Policy.

6.4 Subscribing early. If you subscribe during the trial, you keep the remaining trial days and your first payment is due when the trial ends.

6.5 Changes to trials. We may change the length or conditions of trials offered to new Accounts, or stop offering them. A change does not shorten a trial already in progress.

7. Subscriptions and payment

7.1 Paddle is our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is also governed by Paddle's Buyer Terms, and these Terms govern your use of the Service.

7.2 Pricing. Subscriptions are charged per Inbox per month, at the price shown on our website or in the Service when you subscribe. Prices exclude taxes. Paddle calculates and collects any applicable sales tax, VAT or GST at checkout.

7.3 Billing period and renewal. Subscriptions are billed monthly in advance and renew automatically for further monthly periods until cancelled.

7.4 Changing the number of Inboxes. When you add an Inbox to a paid subscription, the addition is charged immediately, pro rata for the rest of the current billing period. When you remove an Inbox, the change takes effect at the next renewal; the current period is not credited or refunded.

7.5 Payment. Paddle charges your chosen payment method at the start of each billing period. If a payment fails, Paddle may retry it. If payment cannot be collected, we may suspend Agents' access to mail until it is. Amounts already due remain payable.

7.6 Price changes. We may change our prices. We will tell you about any price change for an existing subscription at least 30 days before it takes effect, by email or in the Service. It applies from your next billing period after that notice. If you do not agree, you can cancel before the new price takes effect.

7.7 Invoices. Invoices and receipts are issued by Paddle and are available through the link in your payment confirmation email or the Paddle customer portal.

8. Cancellation and refunds

8.1 Cancelling. You can cancel your subscription at any time, from the Service or the Paddle customer portal. Cancellation takes effect at the end of the current billing period; your Agents keep access until then.

8.2 Refunds. You can request a full refund within 14 days of the first payment of a subscription, and within 14 days of any charge for adding an Inbox, as described in our Refund Policy. Renewal payments are not covered by this guarantee; cancel before the renewal date to avoid being charged. A refund ends access for the refunded subscription. We may decline refund requests where there is evidence of fraud or refund abuse.

8.3 Statutory rights. If you are a consumer in the EU, EEA or UK, you also have a statutory right to withdraw from your purchase within 14 days, as set out in Paddle's Buyer Terms. Our Refund Policy does not limit that right.

9. Acceptable use

You must not use the Service, or let your Agents use it, to:

  1. break any law or regulation, or help others to do so;
  2. connect an Inbox you are not authorised to use, or access or monitor another person's communications without the consent or legal authority required;
  3. send spam, unsolicited bulk or commercial messages, or mass marketing, or otherwise send email in breach of anti-spam law or Google's sending policies and limits;
  4. commit or facilitate fraud, phishing or impersonation, or mislead recipients about who is sending a message;
  5. send or store content that is harassing, threatening, hateful, defamatory, sexually exploitative, or that discloses another person's private information without their consent;
  6. distribute malware, or links or attachments intended to cause harm;
  7. infringe anyone's intellectual property, privacy or other rights;
  8. probe, scan or test the vulnerability of the Service, or bypass its security, Permissions, rate limits or billing, except as part of coordinated disclosure agreed with us in advance;
  9. interfere with or disrupt the Service or the networks it relies on, including by placing an unreasonable load on it;
  10. access the Service by automated means other than through the MCP endpoints and APIs we provide, or scrape or harvest data from it;
  11. copy, modify, decompile or reverse-engineer the Service, except as permitted by mandatory law (including § 69e UrhG);
  12. resell, sublicense or provide the Service to third parties as a standalone service without our written agreement (managing Inboxes you are authorised to manage, on behalf of their owners, is permitted); or
  13. violate Google's terms of service or policies applicable to your Inboxes.

We may investigate suspected violations and act on them under Section 17.

10. Your data

10.1 Ownership. You keep all rights in your Customer Data. We claim no ownership of it.

10.2 Our use. You authorise us to access, process, transmit and store Customer Data only as needed to provide, secure and support the Service, including delivering Mail Data to the Agents you authorise, and to comply with the law. We do not sell Customer Data, use Mail Data for advertising, or use it to train AI models.

10.3 Google user data. Our use of data received from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements, as explained in our Privacy Policy.

10.4 Service data. We may collect and use data about how the Service is used, such as numbers of Agents and Inboxes, tool calls, errors and performance, to operate, secure, improve and report on the Service. We use it only in aggregated or de-identified form when we share it outside our company, and it never includes the content of your messages or other data received from Google APIs.

10.5 Feedback. If you send us suggestions or feedback, including through an Agent's feedback tool, we may use them without obligation to you.

11. Our intellectual property

We and our licensors own all rights in the Service, including its software, design, documentation and the comail name and logo. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right, for the term of your subscription or trial, to use the Service for your internal purposes. All rights not expressly granted are reserved.

12. Third-party services

12.1 Google. The Service relies on Google's APIs. Your use of Gmail and Google Workspace remains subject to your agreement with Google. If Google suspends, limits or changes our access to its APIs, we may have to change or suspend affected parts of the Service. If this permanently prevents us from providing the Service, either party may end the subscription, and we will refund any prepaid fees for the period not provided.

12.2 Other services. Your Agents, AI model providers and MCP clients are third-party services under their own terms. We are not responsible for them, for their availability, or for how they handle data you direct comail to give them.

13. Availability and changes

13.1 Availability. We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, timely or error-free. Unless agreed in a separate written agreement, we do not offer a service level commitment. We may perform maintenance, and will give advance notice of planned maintenance where reasonably possible.

13.2 Changes. We continuously develop the Service and may add, change or remove features. If a change materially reduces the core functionality of a paid subscription, we will tell you in advance, and you may cancel and receive a pro rata refund of any prepaid fees for the remaining period.

13.3 Previews. Features we label as beta, preview or experimental are offered for evaluation, may change or be withdrawn at any time, and are provided without any commitment as to availability.

14. Warranty

14.1 Paid subscriptions. For paid subscriptions, the statutory warranty rules apply, with the following provisions. Please report defects promptly, with a description that allows us to reproduce them. We will remedy defects within a reasonable time. Insignificant deviations that do not materially affect use are not defects. Strict liability for defects that already existed when the contract was concluded (§ 536a(1), first alternative, BGB) is excluded; liability for fault remains subject to Section 15.

14.2 Free use. During a free trial and for any free features, we provide the Service without charge and are liable for defects only where we fraudulently conceal them.

15. Liability

15.1 Unlimited liability. We are liable without limitation for damage caused by intent or gross negligence; for injury to life, body or health; under the German Product Liability Act (Produkthaftungsgesetz); where we have fraudulently concealed a defect; and where we have given a guarantee.

15.2 Slight negligence. In other cases of slight negligence, we are liable only for breach of an essential contractual obligation, meaning an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In that case our liability is limited to the damage that was foreseeable and typical for this type of contract when it was concluded.

15.3 Cap for business customers. For business customers, our total liability under Section 15.2 is also limited, per contract year, to the fees paid or payable for the Service in the twelve months before the event giving rise to the claim.

15.4 Free use. During a free trial and for free features, we are liable only under Section 15.1.

15.5 Agent actions. We are not liable for actions taken by your Agents within the Permissions you granted, or for how third-party Agents and their providers use data you directed comail to give them, unless the damage results from our own breach of these Terms.

15.6 Other exclusions. Otherwise, our liability is excluded. These limitations also apply to the personal liability of our employees, representatives and agents.

16. Indemnity

If you are a business customer, you will indemnify us against third-party claims, and reasonable costs of legal defence, arising from your Customer Data, from messages sent by your Agents, or from your breach of these Terms or applicable law, to the extent you are responsible for them. We will tell you promptly about any such claim and let you take part in its defence.

17. Suspension and termination

17.1 Suspension. We may suspend your Account, an Agent or an Inbox connection, in whole or in part, if you materially breach these Terms; if payment is overdue; if your use poses a security, fraud or legal risk to the Service, to other users or to third parties; if you repeatedly or seriously violate Section 9; or if we are required to by law or by Google. We will tell you the reason, where we can, and restore access once the cause is resolved.

17.2 Termination by you. You can stop using the Service at any time. To end a paid subscription, cancel it under Section 8. You can delete your Account in the Service once no paid subscription is active.

17.3 Termination by us. We may terminate your Account with immediate effect for good cause, including a material breach not remedied within a reasonable period after notice, repeated or serious violations of these Terms, persistent non-payment, or fraud. We may also end the Service or your Account for any other reason with at least 30 days' notice; in that case we will refund any prepaid fees for the period after termination.

17.4 Effect. When your Account ends, your Agents lose access, your Inbox connections are removed and our access tokens are revoked with Google, and your data is deleted as described in our Privacy Policy. Sections that by their nature should survive termination, including Sections 10.4, 10.5, 15, 16, 19 and 22, survive it.

18. Data protection

Our Privacy Policy explains how we process personal data. If you are a business customer and we process personal data in your Inboxes or Customer Data on your behalf, we do so as your processor under Article 28 GDPR, and our data processing agreement, available on request from privacy@comail.io, forms part of these Terms.

19. Confidentiality

Each party will keep confidential any non-public information it receives from the other in connection with the Service and that is marked as confidential or is obviously confidential, and will use it only for the purposes of this agreement. This does not apply to information that is or becomes public through no fault of the recipient, that the recipient already had or developed independently, or that must be disclosed by law. A party may share confidential information with its Affiliates, professional advisers and actual or prospective investors, financing sources, acquirers or successors who are bound by equivalent confidentiality obligations.

20. Changes to these Terms

20.1 Material changes. We may update these Terms, for example to reflect changes to the Service, our business or the law. We will tell you about material changes at least 30 days before they take effect, by email or in the Service, and explain what continuing to use the Service will mean. If you do not agree, you may cancel your subscription or delete your Account before the changes take effect, and we will refund any prepaid fees for the period after that date. If you continue to use the Service after the effective date, the updated Terms apply.

20.2 Other changes. We may make changes that do not adversely affect you, such as corrections, clarifications, or updates to contact or company details, with effect from their publication on this page.

21. Assignment

You may not transfer this agreement, or your rights or obligations under it, without our prior written consent. We may transfer this agreement, or our rights and obligations under it, in whole or in part, to an Affiliate or to a successor in connection with a merger, reorganisation, change of control, or sale of all or part of our business or assets. We will tell you before such a transfer takes effect. If you object, you may terminate your subscription with effect from the transfer, and we will refund any prepaid fees for the period after that date. We may also use subcontractors to provide the Service, and remain responsible for them.

22. Governing law and disputes

22.1 Law. These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country where you habitually reside.

22.2 Courts. If you are a merchant (Kaufmann), a legal entity under public law or a special fund under public law, or have no general place of jurisdiction in Germany, the exclusive place of jurisdiction is Lübeck, Germany. We may also bring proceedings at your general place of jurisdiction.

22.3 Talk to us first. Please contact us before starting any proceedings, so we can try to resolve the matter informally.

22.4 Consumer dispute resolution. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.

23. General

23.1 Entire agreement. These Terms, together with the Privacy Policy, the Refund Policy and any data processing agreement or separate written agreement between us, are the entire agreement between you and us about the Service. Your own terms and conditions do not apply, even if we do not object to them.

23.2 Notices. We may send notices to the email address on your Account or display them in the Service. You can send notices to us at the email address in Section 24.

23.3 Force majeure. Neither party is responsible for failure or delay in performance caused by events beyond its reasonable control, such as natural disasters, war, pandemics, government action, or failures of networks, power or third-party providers we reasonably depend on.

23.4 Severability. If any provision of these Terms is invalid or unenforceable, the rest remains in effect, and the statutory provisions apply in place of the invalid one.

23.5 No waiver. If we do not enforce a provision, that does not waive our right to enforce it later.

23.6 Language. These Terms are written in English. If we provide a translation, the English version prevails.

24. Contact
